The resolution adopted by the Ordinary General Meeting of Kölnische Rückversicherungs-Gesellschaft AG on 26 June 2007 pertaining to the transfer of the shares of the remaining shareholders (minority shareholders) of Kölnische Rückversicherungs-Gesellschaft AG to General Reinsurance Corporation as the principal shareholder pursuant to §§ 327a ff. German Stock Corporation Act against payment of cash compensation has today been entered in the commercial register.

Upon the entry of the transfer resolution in the commercial register, pursuant to § 327e, Paragraph 3, Sentence 1 German Stock Corporation Act all the minority shareholders' shares were transferred to General Reinsurance Corporation. Until they are surrendered to the principal shareholder issued share certificates shall only certify the entitlement to cash compensation.

The shares of Kölnische Rückversicherungs-Gesellschaft AG will cease being listed in the near future.
